Abstract

Corporate governance merupakan tata kelola perusahaan yang menjelaskan hubungan antara berbagai partisipan dalam perusahaan yang menentukan arah dan kinerja perusahaan. Lemahnya penerapan corporate governance dapat membawa dampak negatif bagi perusahaan, yaitu terjadinya financial distress. Oleh sebab itu, agar perusahaan tidak mengalami financial distress yang diakibatkan oleh corporate governance atau hal lain maka model financial distress perlu untuk dikembangkan agar dapat mengurangi financial distress. Terdapat beberapa faktor yang mempengaruhi financial distress. Tujuan dari penelitian ini adalah untuk menguji pengaruh corporate governance (institutional ownership, managerial ownership, independent commissioners, dan the number of independent directors) terhadap terjadinya financial distress. Populasi dari penelitian ini adalah perusahaan manufaktur yang terdaftar pada Bursa Efek Indonesia (BEI) pada tahun 2008 sampai 2017. Sampel yang digunakan dalam penelitian ini diambil berdasarkan kriteria-kriteria yang ditentukan (purposive sampling). Data yang telah terkumpul dianalisis dengan menggunakan analisis logistik yang diolah menggunakan SPSS. Hasil dari penelitian ini menunjukkan institutional ownership, managerial ownership, independent commissioners , dan the number of independent directors berpengaruh terhadap terjadinya financial distress.
